Hong Kong – 17 June 2026 – WuXi XDC Cayman Inc. (WuXi XDC; 02268) announced that its 60.67%-owned subsidiary, BioDlink International Company Limited (BioDlink; 01875), has entered into a Process Development and Manufacturing Services Agreement with WuXi Biologics (Cayman) Inc. (WuXi Biologics; 02269).
Key terms of the connected transaction are as follows:
1. Scope of services • BioDlink will conduct process development and manufacturing for monoclonal-antibody intermediates, covering cell resuscitation, cell culture, purification and bulk drug-substance filling. • Ten batches will be produced using 50 L, 200 L or 500 L pilot bioreactors, with each batch delivered 60–90 days after order confirmation. All orders must be placed by 31 December 2026.
2. Financials • Unit price: RMB1.90 million per batch. • Total contract value: RMB19.00 million. • Payment terms: settlement within 10 working days after delivery of each batch.
3. Duration • Effective from 16 June 2026 to 31 December 2026.
Regulatory status and rationale:
• WuXi Biologics is the controlling shareholder of WuXi XDC and therefore a connected person to both WuXi XDC and BioDlink under Hong Kong Listing Rules. The highest applicable percentage ratio for the transaction exceeds 0.1% but is below 5%, triggering announcement and reporting obligations but exempting the deal from circular and shareholder-approval requirements.
• Both WuXi XDC’s and BioDlink’s boards, including their independent non-executive directors, consider the agreement fair, reasonable and in the ordinary course of business. The arrangement enables BioDlink to deploy under-utilised process-development infrastructure, enhance technical know-how, and strengthen its track record, while providing WuXi Biologics with established capabilities for pilot-scale antibody-intermediate production.
No directors were required to abstain from voting on the approval of the agreement, and both companies expect the collaboration to contribute positively to future financial performance.
