TYK Medicines Extends Long-Stop Date for 63.22 Million H-Share Placement to 20 September 2026

TYK Medicines, Inc. has pushed back the long-stop date for completing its planned issuance of 63.22 million H shares under general mandate. According to an announcement dated 20 August 2026, the deadline has been moved from 20 August 2026 to 20 September 2026 to allow additional time for satisfying outstanding conditions in the Subscription Agreement tied to the company’s July 2026 licensing and collaboration deal with Qilu.

The extension was mutually agreed by all parties to the Subscription Agreement. Apart from the revised timetable, all other provisions of the Subscription Agreement, the License and Collaboration Agreement, and the Supplies and Commercialization Agreement remain unchanged.

Completion of the subscription remains conditional on the fulfillment or waiver of several pre-closing requirements; consequently, there is no certainty the transaction will proceed. The company has advised shareholders and potential investors to exercise caution when dealing in TYK Medicines shares.

The announcement was authorized by Dr. Wu Yusheng, Chairman, Executive Director, and Chief Executive Officer, on behalf of the Board on 20 August 2026. As of that date, the Board comprises one executive director, four non-executive directors, and four independent non-executive directors.
