Fujing Holdings Co., Limited has issued a notice convening its Annual General Meeting (AGM) for 22 May 2026 at 10:30 a.m. at One International Finance Centre, Central, Hong Kong. The agenda centres on approval of the audited consolidated financial statements for the year ended 31 December 2025, re-election of directors, reappointment of the external auditor and renewal of share capital mandates.
Key proposals:
1. Financial Statements • Shareholders will vote to receive and approve the FY25 audited consolidated financial statements together with the directors’ and auditor’s reports.
2. Board Composition and Remuneration • Re-election of executive directors Cui Wei and Pang Jinhong, and independent non-executive director Dr Li Junliang. • Authorisation for the Board to determine directors’ remuneration.

4. General Mandates • Share Issuance: Directors seek authority to allot, issue or deal with additional shares up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period. • Share Repurchase: A separate mandate would allow the company to repurchase up to 10% of issued shares (excluding treasury shares), with repurchased shares eligible to be held as treasury shares or cancelled. • Mandate Extension: Subject to both mandates passing, the issuance limit can be extended by the number of shares repurchased, effectively adding up to a further 10%.
Administrative Details • Shareholders registered by 18 May 2026 (4:30 p.m.) will be eligible to vote; the register will be closed from 19 May 2026 to 22 May 2026, inclusive. • All resolutions will be decided by poll in accordance with Hong Kong Listing Rule 13.39(4). • Proxy forms must be lodged with Tricor Investor Services Limited no later than 48 hours before the meeting.
