On July 14th, Shenzhen Success Electronics Co.,Ltd. (SZSE: 002289) announced a plan for a private placement of A-shares in 2026. The company intends to issue no more than 84,076,119 shares, representing up to 30% of its pre-issue total share capital, to raise a maximum of 1.5 billion yuan. After deducting issuance expenses, all proceeds will be used to repay debt and supplement working capital. Shanghai Fengwang will subscribe to the entire offering in full.
Since taking control of Shenzhen Success Electronics in 2023, Shanghai Fengwang has provided extensive support through various means, injecting over 5 billion yuan in capital. This substantial "transfusion" has helped create a stock that has surged 17-fold. Market attention is now focused on whether Shenzhen Success Electronics can tackle the tough challenges ahead and achieve self-sustaining "hematopoiesis," or internal financial health.
Interest-Bearing Debt of 1.6 Billion and Controlling Shareholder's Capital Injection
According to the announcement, Shanghai Fengwang currently directly holds 29.99% of Shenzhen Success Electronics' shares, making it the controlling shareholder. Ms. Zhang Jianyun and Ms. Zhong Xindi each hold a 50% stake in Shanghai Fengwang and have signed a "concerted action agreement." They have agreed to vote in Shanghai Fengwang's shareholder meetings according to Ms. Zhang Jianyun's intentions. Therefore, Ms. Zhang Jianyun is the controlling shareholder and actual controller of Shanghai Fengwang.
The announcement states that the completion of this private placement will not create any actual or potential competition between Shenzhen Success Electronics and its controlling shareholder Shanghai Fengwang or the actual controller. It will not result in a change of control and is not expected to adversely affect the company's independent operations, financial condition, or operating results. The funds raised are intended to repay borrowings and supplement working capital, which will help lower the company's asset-liability ratio, optimize its capital structure, enhance its core competitiveness, expand its market share for products and services, strengthen its ability to withstand market risks, and promote its long-term sustainable and healthy development.
Shenzhen Success Electronics was founded on January 2, 2004, and listed on the A-share market on September 3, 2009. The company integrates R&D, design, production, sales, and service, providing comprehensive integrated touch display solutions for smartphone manufacturers. It specializes in developing and manufacturing Sensor components, capacitive touchscreens (GFF/OGS/GG), small and medium-sized LCDs (TN/HTN/STN/CSTN/TFT) and corresponding modules, and glass cover products. Its products are widely used in communication terminals (smartphones, tablets, etc.), household appliances, automotive electronics, and digital products, and are exported to countries in Europe, America, Japan, South Korea, and Singapore.
Historical financial reports show that Shenzhen Success Electronics' full-year 2025 operating revenue was 327 million yuan. For the first quarter of 2026, operating revenue reached 265 million yuan, representing year-over-year growth rates of 49.01% and 486.76%, respectively. The company has achieved high growth rates for three consecutive years. The full-year 2025 net profit attributable to shareholders of the parent company was -15 million yuan, with a growth rate of 16.99%. For the first quarter of 2026, this figure was 49 million yuan, representing a staggering growth rate of 4,202.23%.
As of the end of 2025, Shenzhen Success Electronics held cash and cash equivalents of 565 million yuan. However, by the first quarter of 2026, this amount had dwindled to just 21 million yuan, with virtually no trading financial assets. The company also had payables of 115 million yuan and accounts receivable of 372 million yuan. Its liability ratio stood at a high 94.58%, with a long-term capital liability ratio of 82.86%. The financial expense (interest expense) for Q1 2026 was 28 million yuan, which is 1.63 times the 16 million yuan recorded for the full year 2025. Net cash flow from operating activities turned negative, shifting from 122 million yuan in 2025 to -231 million yuan in Q1 2026.
With interest-bearing debt of 1.651 billion yuan in Q1 2026, the maximum fundraising target of 1.5 billion yuan (before issuance expenses) for this private placement covers 90.85% of that amount, effectively constituting a capital "transfusion" from the controlling shareholder.
Revenue Reduced to a Fraction, Profitability Remains Unstable
Taking a longer-term view, a significant shift in the operating conditions of Shenzhen Success Electronics began in 2016. Between 2016 and 2025, the average operating revenue of 90 Consumer Electronics Components stocks showed a wave-like downward trend in growth rate. However, their average operating revenue increased from 3.587 billion yuan in 2016 to 12.789 billion yuan in 2025, a net increase of 2.57 times. In contrast, Shenzhen Success Electronics saw its operating revenue decline from 1.301 billion yuan in 2016 to 327 million yuan in 2025, a contraction of 74.87%, leaving its revenue at just a fraction of its level a decade ago.
Regarding net profit, between 2016 and 2025, the average growth rate of net profit attributable to shareholders of the parent company for the Consumer Electronics Components stocks fluctuated, with the highest year being 2019 at 308.15% and the lowest being 2018 at -183.72%. Shenzhen Success Electronics experienced two years with growth exceeding 100%, but overall its performance showed greater volatility. In 2017, 2020, and 2024, the growth rates were -526.91%, -341.97%, and -1,922.33%, respectively, exhibiting an alternating pattern of positive and negative results with significant swings, indicating a clear negative drag over the decade and weak profitability stability.
Generally, this situation often stems from business uncertainty. Of course, cross-industry transformations and large-scale asset disposals can also make short-term profits susceptible to impacts from non-recurring gains and losses. In fact, for the three years from 2021 to 2023, Shenzhen Success Electronics' net profit growth outperformed the peer average. However, the year 2024 nearly erased the advantages accumulated over the previous three years.
In absolute terms, the net profit attributable to shareholders of the parent company for Shenzhen Success Electronics over the past decade was 30 million yuan, -127 million yuan, -154 million yuan, 13 million yuan, -32 million yuan, -26 million yuan, -25 million yuan, 1 million yuan, -18 million yuan, and -15 million yuan, respectively. The company incurred losses in 7 out of the 10 years, with a total loss of 353 million yuan.
Consequently, capital injections from the parent company of Shenzhen Success Electronics have become a regular operation. Most of these actions occurred after Shanghai Fengwang became the new controlling shareholder in 2023.
Series of Capital Support Measures
On April 8, 2024, Shenzhen Success Electronics announced that, to fund the cash acquisition of a 75% equity stake in Shanghai Fubang Industrial Co., Ltd. (transfer price of 74.25 million yuan, representing a premium of 180.40%), it applied to its controlling shareholder Shanghai Fengwang for a loan facility of up to 20 million yuan. The loan was based on the Loan Prime Rate (LPR) of 3.45%, with a term of 12 months, and required no collateral, pledge, or guarantee measures. The transaction plan disclosed that Fubang Industrial, founded in 2008, is primarily engaged in the design and assembly of gas detection instruments and emergency equipment, with downstream customers covering chemical enterprises and some government clients. This transaction was announced as completed on September 27, 2024.
Shanghai Fengwang also implemented a share increase plan. As of November 6, 2024, it had cumulatively increased its holdings in Shenzhen Success Electronics by 8,379,560 shares through centralized bidding, representing 2.99% of the total shares at the time, at a total cost of 29.3739 million yuan. On November 8, 2024, the board of Shenzhen Success Electronics approved a resolution to borrow 29 million yuan from Shanghai Fengwang, with the loan based on an LPR of 3.10% and a term of 12 months.
In July 2025, to facilitate a major asset restructuring—specifically, the cash acquisition of a 100% equity stake in Zhong'en Yun (Beijing) Data Technology Co., Ltd. for 3.35 billion yuan—Shenzhen Success Electronics again borrowed 1.7 billion yuan from Shanghai Fengwang. The interest rate was set at the LPR stipulated by the People's Bank of China on the date the loan was received, payable based on the actual number of days borrowed, with options for partial withdrawals and early repayment of principal and interest. Similarly, no collateral, pledge, or guarantee was required, and the loan term was 36 months. The acquisition report draft stated that post-acquisition, the listed company would form a diversified business layout encompassing data center infrastructure services, LCD-related products and instruments, and power distribution equipment. This diversification would help disperse operational risks, allow entry into the promising data center market, further expand the company's future growth space, and improve profitability.
In September 2025, this loan amount was increased to 2.5 billion yuan. By December of that year, the borrowing continued, with the total reaching 3.1 billion yuan. In June 2026, of the remaining 1.14 billion yuan unpaid portion of the acquisition consideration (after 2.21 billion yuan had already been paid), 990 million yuan was assumed by Shanghai Fengwang free of charge (as a donation). This was accounted for as a capital contribution from the controlling shareholder to Shenzhen Success Electronics and recorded in capital reserve. This acquisition was announced as completed with the transfer of ownership on April 4, 2026.
Additionally, in March 2026, Shanghai Fengwang authorized Shenzhen Success Electronics to conduct financial leasing business of up to 2 billion yuan, which has since been carried out through a sale-leaseback arrangement with China Merchants Bank Financial Leasing Co., Ltd.
Based on this incomplete tally, within just three years, Shanghai Fengwang has injected over 5 billion yuan into Shenzhen Success Electronics, providing heavy financial support for its cross-industry transformation. This explains the stock's dramatic rise. After hitting a historical low of 2.47 yuan per share on July 16, 2024, the share price of Shenzhen Success Electronics first climbed steadily and then surged dramatically throughout 2025. As of the close on July 14, its share price had risen to 45.50 yuan per share, with a total market capitalization of 12.8 billion yuan, representing a cumulative increase of 1,705.56%.
The Path to Self-Sufficiency
However, regardless of how supportive the controlling shareholder has been, the latest capital injection through Shanghai Fengwang's full subscription to the private placement shares, according to the planned use of funds, will primarily serve to reduce Shenzhen Success Electronics' debt ratio and optimize its capital structure. Achieving true self-sustaining "hematopoiesis" ultimately depends on the company itself. With its original main businesses like consumer electronics showing no significant breakthroughs and its cash flow remaining low, the company has embarked on cross-industry expansion through M&A, shifting from traditional manufacturing towards intelligent computing and aligning with AI computing power. Having just had its delisting risk warning removed on June 26, Shenzhen Success Electronics still faces several "hard nuts to crack," including the absorption and integration of acquired businesses and technological competition.
