COWELL launches HKD320.00 million share repurchase plan valid until July 2027

Cowell e Holdings Inc. (COWELL) has approved a share repurchase plan authorizing the buy-back of shares worth up to HKD320.00 million from 3 July 2026 to 3 July 2027.

The repurchases can be carried out on the Hong Kong Stock Exchange through open-market transactions, block trades or other permissible methods, subject to prevailing market prices and compliance with the company’s articles of association, Hong Kong listing rules, the Codes on Takeovers and Share Buy-backs, and all relevant laws in Hong Kong and the Cayman Islands.

Funding will be drawn from existing cash and internal resources, with management stating that sufficient liquidity will be maintained to support ongoing operations. The buying programme will initially rely on the 2026 Repurchase Mandate—approved at the 28 May 2026 AGM—which caps annual repurchases at 10 % of issued shares (excluding treasury stock). Any buy-backs after the mandate’s expiry will depend on shareholder approval of a new mandate at the 2027 AGM.

The Board retains discretion to adjust, suspend or terminate the plan in light of market conditions. Repurchased shares may be cancelled or held in treasury according to capital-management needs. The company confirmed it will avoid reducing public float below regulatory thresholds and does not expect the plan to trigger a mandatory general offer under the Takeovers Code.

Disclosure updates, including next-day returns, will be published on both the Stock Exchange and company websites as required. The company emphasized that execution details—timing, quantity and price—remain subject to market conditions and shareholder approvals.
