ACOTEC-B Sets 16 June 2026 AGM; Shareholders to Vote on 20% Issuance Mandate, 10% Buy-back and Board Changes

ACOTEC-B (Acotec Scientific Holdings Limited) has called its 2026 Annual General Meeting (AGM) for 10:00 a.m. on 16 June 2026 at Conference Room Dhalia, 8/F., Office Building, 10 Longqing Street, Beijing Economic-Technological Development Area, Beijing.

Key resolutions to be tabled:

1. 2025 Financial Statements • Shareholders will consider and adopt the audited consolidated results for the year ended 31 December 2025, together with the directors’ and auditors’ reports.

2. Board Composition and Remuneration • Re-election of Executive Director Ms. Jing Li. • Re-election of Independent Non-executive Directors Dr. Yuqi Wang and Ms. Kin Yee Poon. • Board authorised to determine directors’ remuneration.

3. Auditor Re-appointment • KPMG nominated to continue as external auditor until the next AGM, with remuneration to be set by the Board.

4. Share Capital Mandates • General mandate to allot, issue or deal with additional shares and convertible securities up to 20 % of issued share capital, subject to Hong Kong Listing Rules pricing restrictions. • Authority to repurchase up to 10 % of issued shares on the Hong Kong Stock Exchange or other recognised markets. • Extension of the issuance mandate by the number of shares repurchased under the above authority, capped at an additional 10 % of issued shares.

5. Amendments to Constitutional Documents • Adoption of an amended and restated Memorandum and Articles of Association as detailed in the accompanying circular.

Administrative Notes • Share register will be closed from 11 June 2026 to 16 June 2026 (both dates inclusive). Transfers must be lodged by 4:30 p.m. on 10 June 2026 to qualify for AGM attendance. • Proxy forms must reach Computershare Hong Kong Investor Services Limited by 10:00 a.m. on 14 June 2026. • All resolutions will be decided by poll.

The notice states that the Board currently has no immediate plans to issue new shares and will exercise the buy-back mandate only when deemed beneficial to shareholders.
