Dmall delays circular on Cloopen acquisition; Hong Kong bourse grants compliance waiver

Dmall Inc. announced a postponement in the despatch of its shareholder circular for the proposed acquisition of equity in Cloopen Group Holding Limited. The circular, originally expected earlier in June 2026, is now scheduled for release on or before 30 June 2026.

The delay stems from the additional time required to finalise unaudited pro forma financial statements and an indebtedness statement for the enlarged group. To accommodate the extended timeline, the company sought and obtained a waiver from the Hong Kong Stock Exchange on 5 June 2026, exempting it from strict observance of Listing Rule 14.41(a). The waiver remains conditional and may be modified or withdrawn if Dmall’s situation changes.

The board continues to be chaired by non-executive director Mr. Curtis Alan Ferguson, with Mr. Zhang Feng serving as the sole executive director alongside five other non-executive and independent non-executive directors.
