YUEXIU PROPERTY to Divest Assets and Operations via Stake Transfer in Target Companies

YUEXIU PROPERTY (00123) announced that on May 1, 2026, the relevant sellers, comprising Guangzhou Junjing, Guangzhou Qingyue, Jiajing Global, and Guangzhou Chengjian, entered into separate transfer agreements with the respective buyers, Guangzhou Paper Group, Guangzhou Yuexiu Intelligent Manufacturing, Guangzhou Yuexiu Industrial Investment, and Guangzhou Yuexiu Health. Under these agreements, the sellers conditionally agreed to dispose of, and the buyers conditionally agreed to acquire, equity interests in the target companies. The transfer agreements are interdependent and will only become effective upon, among other conditions, the approval of the proposed transactions by independent shareholders at an extraordinary general meeting. The target companies, which include the Nansha International Finance Center, Yungu Industrial Park, Zhigu Industrial Park, Bijie Hotel, and healthcare and elderly care operations entities, hold a portfolio of assets and businesses. Following the completion of the transactions, the company will no longer hold any interest in the target companies or the related properties. Consequently, the target companies will cease to be subsidiaries of YUEXIU PROPERTY, and their financial results will no longer be consolidated into the company's financial statements.
