LVGEM China Schedules 29 May 2026 AGM; Eyes Director Re-elections, 20% Issue Mandate, 10% Buy-back Capacity and Constitutional Update

LVGEM (China) Real Estate Investment Company Limited will convene its 2026 annual general meeting (AGM) on 29 May 2026 at 11:00 a.m. in Hong Kong. Key resolutions to be tabled include:

1. Board Composition • Re-election of three executive directors – Chair and CEO Huang Jingshu, Ye Xingan and Huang Hao Yuan – who retire by rotation and offer themselves for re-election. • The nomination committee has endorsed all three candidates, citing their experience and contribution to board diversity.

2. Capital Authorities • General mandate to issue up to 20% of issued share capital, equivalent to a ceiling of 1.27 billion new shares based on the 6.36 billion shares outstanding as at 23 April 2026. • General mandate to buy back up to 10% of issued shares, representing a limit of 636.38 million shares. The company may hold repurchased shares as treasury stock under the new Hong Kong regime, with potential resale subject to shareholder approval. • Extension mandate allowing the board to increase the issue limit by the number of shares actually repurchased.

3. Corporate Governance Upgrades • Proposed amendments to the Memorandum and Articles of Association to align with updated Listing Rules and Cayman Islands law, including provisions for hybrid and electronic meetings, electronic voting, treasury share management and the forthcoming Uncertificated Securities Market (USM) framework. • Adoption of a fully amended and restated constitution incorporating these changes.

4. Auditor Appointment • Re-appointment of Prism Hong Kong Limited as external auditor for the financial year ending 31 December 2026; audit fees are estimated at RMB1.50 million–RMB2.00 million.

5. Poll Voting All AGM resolutions will be decided by poll in accordance with Listing Rule 13.39(4).

Shareholders of record on 29 May 2026 are entitled to vote. Share transfer books will close from 26 May to 29 May 2026 inclusive. Proxy forms must be lodged at the company’s Hong Kong office by 11:00 a.m. on 27 May 2026, 48 hours before the meeting.
