PHANCY Withdraws Application for 13.78 Million-Share H-Share Full-Circulation Plan

Phancy Group Co., Ltd. (PHANCY) announced on 8 May 2026 that it has formally withdrawn its application to the China Securities Regulatory Commission (CSRC) for the conversion and listing of 13.78 million domestic shares under its previously proposed H-share full-circulation plan.

The original application, accepted by the CSRC on 24 November 2025, aimed to convert 13,779,177 domestic shares held by certain non-controlling shareholders into H shares for trading on the Hong Kong Stock Exchange. The company states that the withdrawal follows a request from the relevant shareholders.

As the conversion and listing process had not been completed, the termination means no additional H shares will be issued under this plan, and the affected domestic shares will remain unlisted in Hong Kong.

PHANCY advises shareholders and potential investors to exercise caution when dealing in its securities. The announcement was authorized by Chairman and Executive Director Dr. Dai Wenyuan on behalf of the board.
