Ju Fu Tang Biotech Holdings Co., Ltd (“Ju Fu Tang Biotech”) has issued a supplemental circular outlining a new agenda item for its annual general meeting (AGM) scheduled for 11:00 a.m. on 10 September 2026 at Portion 2, 12/F, The Center, 99 Queen’s Road Central, Hong Kong.
The Board proposes the formal re-election of Ms. Wong Mei Yin Mian as an independent non-executive director (INED). Ms. Wong, aged 55, joined the Board on 17 August 2026 following the resignation of former INED Mr. Liao Honghao. In compliance with Article 112 of the company’s Articles of Association, directors appointed to fill casual vacancies must retire at the next AGM and may offer themselves for re-election.
Ms. Wong brings more than 20 years of corporate governance experience spanning internal control reviews, risk oversight and fraud prevention. She holds an MBA from The Chinese University of Hong Kong, a BA (Hons) in Accounting and Finance from the University of Glamorgan (UK), and is a fellow member of both the Hong Kong Institute of Certified Public Accountants and the Association of Chartered Certified Accountants. Her annual director’s fee is set at HK$0.12 million.
If approved, the Board will continue to comprise two executive directors—Mr. Chen Jian and Ms. Yu Xiao—and three independent non-executive directors—Mr. Wong Chi Kan, Ms. Wong Mei Yin Mian and Ms. Lao In Iam.
Shareholders who have already submitted the original proxy form dated 31 July 2026 must submit the revised proxy form—now including Ms. Wong’s re-election resolution—no later than 48 hours before the AGM. Completion of the proxy form does not preclude shareholders from attending and voting in person.
No other changes have been made to the AGM agenda issued on 31 July 2026.
