Smart Fish Wealthlink Holdings Limited has issued a notice convening a special general meeting (SGM) for 5 June 2026 at 9:30 a.m. in Hong Kong. Shareholders will vote on four sale-and-purchase agreements and one settlement undertaking that collectively expand the Group’s asset-management and investment footprint in Hong Kong. Central Wealth Infrastructure Investment Limited, a wholly owned Smart Fish subsidiary, is the purchaser in all transactions.

Agreement A, signed on 31 December 2024 with vendor Fang Weiqun, covers the acquisition of 100% of Chinese Top Asset Management Limited. Agreement B, also dated 31 December 2024, involves buying 51% of Bright Joy Investment Limited from vendors Lin Zherui and Chen Yihao. Agreements C and D, both signed on 31 January 2025, provide for the purchase of 100% stakes in Dragon Huge Development Limited from Lin Zherui and in Treasure Nice Investment Limited from Lee Ming Pui and Shio Tian Ho, respectively.

In addition, shareholders will consider a Settlement Undertaking dated 31 January 2025, under which five individual vendors—Lin Zherui, Xiao Shaoyou, Chen Senghong, Chen Gezhou and Xing Xintong—agree to transfer 5.00 million shares of Global IBO Group Limited to the purchaser.

Directors are seeking authority to execute all necessary documents and take related actions to implement the acquisitions and settlement. The register of members will be closed from 2 June 2026 to 5 June 2026 (both days inclusive); only shareholders on record as of 5 June 2026 may attend and vote. Proxy forms must be lodged with Tricor Investor Services Limited no later than 48 hours before the meeting.
