Baker Technology Limited announced that shareholders approved the majority of proposals at the company’s annual general meeting held on Apr, 28 2026 in Singapore.
The meeting endorsed the Directors’ Statement and audited financial statements for the year ended Dec, 31 2025, alongside a tax-exempt (1-tier) final dividend of 1.5 cents per ordinary share. Shareholders also sanctioned directors’ fees of up to 297,000 Singapore dollars for FY2026, and re-elected directors Jeanette Chang, Wong Meng Yeng and Chong Weng Hoe.
Ernst & Young LLP was re-appointed as auditor. Further approvals covered board authority to issue shares of up to 50% of issued capital, the allotment of shares under the Baker Technology Limited Employee Performance Share Plan (BTL EPSP) and renewal of the share buyback mandate permitting purchases of up to 10% of issued shares.
Under the BTL EPSP, investors backed a time-based award of 98,039 shares to controlling shareholder Dr Benety Chang but rejected a performance-based award of the same size. They also turned down a time-based award of 87,255 shares to Jeanette Chang while approving a performance-based award of equal size.
All standard business resolutions received at least 99.87% support; voting on EPSP-related items ranged from 13.85% to 66.59%. The meeting concluded at 10:35 a.m. local time.
