Kafelaku Coffee to Raise HK$20.90 Million via 282 Million-Share Placement at 16.5% Discount

On 16 June 2026, Kafelaku Coffee Holding Limited signed a placing agreement with Grand Moore Capital Limited to issue up to 282.05 million new shares under its existing general mandate.

The shares will be placed on a best-efforts basis to at least six independent professional investors at HK$0.076 each, representing a 16.5% discount to the 16 June closing price of HK$0.091 and a 19.7% discount to the five-day average of HK$0.0946.

If fully subscribed, the new shares will equal 20.0% of Kafelaku Coffee’s current issued share capital and 16.7% of the enlarged base. Gross proceeds are estimated at HK$21.40 million, with net proceeds of approximately HK$20.90 million after HK$0.50 million in fees and commissions (1.25% placing fee and related expenses). The net placing price is about HK$0.074 per share.

Use of funds: • HK$15.00 million (71.6%) earmarked for liability reduction. • HK$5.90 million (28.4%) allocated to business operations and general working capital, including staff costs, office rental and administrative expenses.

Post-placement, major shareholder Mr. Cui Zhiqiang’s stake will drop from 29.1% to 24.2%; Mr. Zhang Wei’s holding will decline from 15.9% to 13.2%. Public float will move from 55.0% to 45.9%, while the new placees will collectively own 16.7%.

Completion is conditional on Stock Exchange listing approval and the absence of material breaches before the long-stop date of 7 July 2026. Settlement is scheduled within five business days after conditions are met. The placing can be terminated by the agent under specified adverse events.

No shareholder vote is required as the issuance falls within the company’s approved general mandate, under which no shares have yet been issued. Shareholders and potential investors are advised to exercise caution as the placement may or may not proceed.
