STAR CM Finalises Restructuring: Takes Full Control of SH Xingkongshui’an, Exits Shanghai Binqiao

STAR CM Holdings Limited announced the completion of its previously disclosed Restructuring Agreement on 12 August 2026, following shareholder approval granted at the extraordinary general meeting.

Key transaction outcomes:

1. Acquisition: SH Xingkongshui’an has become an indirect wholly owned subsidiary of STAR CM, consolidating the entity fully into the Group’s corporate structure.

2. Disposal: Shanghai Binqiao is no longer classified as an associate and has been removed from the Group’s investment portfolio.

All conditions precedent set out in the Restructuring Agreement have been met, enabling the immediate implementation of both the very substantial acquisition and very substantial disposal.

The Board of STAR CM is led by Chairman, Executive Director and Chief Executive Officer Mr Tian Ming, alongside five other executive directors and three independent non-executive directors.

The announcement was released in Hong Kong on 13 August 2026.
