C CARBONNEUTRAL Signs Acquisition Letter of Intent with Shanghai Mingxiao Technology Shareholders

C CARBONNEUTRAL (01372) announced that on July 27, 2026, the group formally signed a letter of intent (the "Acquisition LOI") with Mr. Yang Hua, Mr. Peng Xinghui, and Nanjing Yunzhijun Investment Management Center (Limited Partnership) (collectively, "Party B"), who are shareholders of Shanghai Mingxiao Information Technology Co., Ltd. (the "Target Company").

Under the terms of the Acquisition LOI, the group intends to acquire more than 51% equity interest in the Target Company from Party B and other shareholders, thereby achieving control over the Target Company (the "Acquisition"). Shanghai Mingxiao Information Technology is led by academicians and technical experts from the Chinese Academy of Sciences specializing in trusted data security, artificial intelligence, big data, and vehicle-road collaboration. The company focuses on technologies such as intelligent digitalization in transportation AI, next-generation information technology for transportation infrastructure (including safety, IT application innovation, and digital intelligence), transportation and energy industrial internet, and core edge computing.

In the rail transit sector, the Target Company's business covers the smart passenger service system (holding the largest market share in its niche), smart train operation system, smart operation and maintenance safety system, and smart new energy system. It has successfully implemented projects across 47 cities in China (including Beijing, Shanghai, Guangzhou, and Shenzhen), Hong Kong, and overseas markets such as Israel and Thailand. These projects span 173 urban rail transit lines, servicing approximately 2,200 stations, 2,200 trains, and over 13,000 vehicles. This has built a scalable delivery capability covering onboard, station, line network, and localized operation and maintenance services.

Starting from the "high-reliability, high-safety, and high-complexity" scenarios of urban rail transit, the Target Company possesses cross-industry, replicable capabilities in domestic AI infrastructure and intelligent operation and maintenance platforms. Its underlying layer comprises "domestic AI computing chips, edge intelligent hardware, a full-stack algorithm library, PHM predictive maintenance, and vertical domain large models." Its upper layer forms multi-industry application loops through "digital twins, industrial intelligent agents, data flywheels, source-grid-load-storage, vehicle-road-cloud, low-altitude economy, and data security." The Target Company is evolving from a specialized rail transit firm into an "AI-Native digital platform company serving smart transportation, energy, and industrial scenarios."

The Target Company has accumulated a series of professional qualifications and honors. It has participated in formulating national industry standards for urban rail transit and next-generation smart trains. It has obtained certifications including the CMA/CNAS certification from the State Grid's PAL institution, the IRIS international railway industry standard certification, the international safety level SIL2 certification, and the highest-level CMMI-5 software maturity model certification. It has also been recognized as a Shanghai-level enterprise technology center, a national-level high-tech enterprise, a national-level specialized and new "little giant" enterprise, and a dual-software enterprise.

The signing of this Acquisition LOI marks a significant step in the group's strategic layout into next-generation information technology for transportation infrastructure, industrial IoT, core edge computing, and domestic AI infrastructure. The Target Company is deeply rooted in the field of transportation AI digitalization, possessing industry-leading technical strength and authoritative certifications. If the Acquisition is successfully completed, the two parties will achieve deep synergy in multiple areas, including transportation infrastructure information technology, industrial IoT, and "carbon neutrality" business in the rail transit sector.
