Beisen Holding trims free-float by 0.01% after option exercise and HKD0.33 million buyback

Beisen Holding Limited disclosed two opposing share-capital movements dated 7 August 2026: the issue of new shares under its Pre-IPO Share Option Plan and an on-market share repurchase.

• New-share issue: 79,500 ordinary shares were allotted to an employee (non-director) exercising options granted under the Pre-IPO Share Option Plan (adopted 15 July 2019). The shares were issued at HKD 0.00008 each.

• Share repurchase: On the same day, the company bought back 100,000 shares on the Hong Kong Stock Exchange at prices between HKD 3.27 and HKD 3.35, for a total outlay of HKD 0.33 million. All repurchased shares are being retained as treasury stock.

• Capital base after the transactions: – Issued shares (excluding treasury shares): 725.51 million, down by 20,500 shares, representing a 0.01 % reduction in free-float. – Treasury shares: 12.02 million, up by 100,000 shares. – Total issued shares (including treasury stock): 737.53 million, an increase of 79,500 shares versus the prior day.

• Repurchase mandate utilisation: Since shareholders approved a 70.12 million-share buyback mandate on 18 September 2025, Beisen has repurchased 16.79 million shares, equivalent to 2.39 % of the company’s issued share capital on the mandate date.

• Moratorium: In accordance with Hong Kong listing rules, Beisen is restricted from issuing or selling treasury shares until 6 September 2026 following the latest buyback.
