TOSEI CORPORATION shareholders clear dividend, board mandates and pay revisions

Tokyo – Feb, 27 2026 – TOSEI CORPORATION said all six resolutions put to its 76th ordinary general meeting on Feb, 26 2026 were approved.

Shareholders backed a year-end dividend of JPY100 per share, equivalent to roughly 48.5 million Singapore dollars in total, to be paid on Feb, 27 2026.

The meeting elected nine directors, including President and CEO Seiichiro Yamaguchi and Director and CFO Noboru Hirano.

Investors also raised the remuneration ceiling for directors to about 7.0 million Singapore dollars a year, of which no more than 1.1 million Singapore dollars is earmarked for outside directors. The annual limit for audit & supervisory board members was set at roughly 0.8 million Singapore dollars.

Equity-based compensation plans were revised to allow annual grants of up to 400,000 shares and 4.0 million Singapore dollars for directors excluding outside directors, and up to 40,000 shares and 0.4 million Singapore dollars for outside directors.

All proposals secured approval rates of at least 81%, with the dividend resolution passing by approximately 96%.
