Shimao Group Holdings Limited announced that Chairman and President Mr. Hui Sai Tan, Jason has received a Decision on Administrative Penalty from the China Securities Regulatory Commission (CSRC) dated 31 July 2026. The CSRC determined that Mr. Hui’s conduct in relation to Shanghai Shimao breached information-disclosure regulations, resulting in a formal warning, a monetary penalty of RMB4.90 million and a six-year prohibition from participating in China’s securities market, including holding director, supervisor or senior executive roles in any securities issuer.
The Board—excluding Mr. Hui—stated that, based on information currently available, the CSRC’s decision is not expected to cause a material adverse impact on the Group’s business or operations. Management will continue to evaluate any implications, particularly regarding director suitability under Rule 3.08 of the Hong Kong Listing Rules, and will update the market on any significant developments.
No further disclosures concerning Mr. Hui are required under Rules 13.51(2)(h)–(v) of the Listing Rules. The Company affirmed its commitment to make additional announcements as warranted by future circumstances.
