CMOC Shareholders Approve CATL & KFM Supply Deals and Corporate Charter Changes at 2026 First EGM

CMOC Group Limited (CMOC) reported that all items on the agenda of its 2026 first extraordinary general meeting, held on 20 August 2026 in Shanghai, secured overwhelming shareholder support, clearing the way for new related-party supply agreements and key governance amendments.

A total of 14.15 billion shares—representing 66.15 % of CMOC’s issued share capital of 21.39 billion shares—were voted in person or by proxy. Of the shares represented, 12.36 billion were A shares (57.80 % of total) and 1.79 billion were H shares (8.35 %).

Key resolutions and vote outcomes were: 1. CATL Product Sales and Procurement Framework Agreement, including proposed annual caps, passed with 99.96 % approval (8.82 billion votes in favour). Contemporary Amperex Technology Co., Ltd. (CATL) and its associates—holding 5.33 billion shares, or 24.91 % of CMOC’s issued capital—abstained from voting due to related-party status. 2. KFM Product Sales and Procurement Framework Agreement and related annual caps received 99.97 % approval (8.82 billion votes in favour). 3. Amendments to CMOC’s Rules for Management of Raised Funds were endorsed with 99.98 % support (14.15 billion votes in favour). 4. A special resolution to amend the Articles of Association was adopted, also with 99.98 % approval (14.15 billion votes in favour).

Shanghai Llinks Law Offices verified the legality of the meeting procedures, participant eligibility and voting results, concluding that all resolutions are valid under PRC law and CMOC’s Articles. Deloitte Touche Tohmatsu Certified Public Accountants LLP acted as joint scrutineer, reconciling poll forms with the vote summary.

The decisive approvals grant CMOC fresh mandates to deepen commercial ties with CATL and KFM and to refine its internal fund-management and corporate-governance frameworks.
