Jiangsu Express Sets 2025 AGM for 15 June 2026; Plans RMB0.49 Dividend, Up to RMB16 Billion in Debt Issuance and New Share Mandate

Jiangsu Expressway Company Limited will convene its 2025 Annual General Meeting (AGM) on 15 June 2026 at 3:00 p.m. in Nanjing, with simultaneous online voting via the Shanghai Stock Exchange (SSE) platform. Shareholders recorded at market close on 5 June 2026 are eligible to participate; the H-share register closes from 26 May to 15 June 2026.

Key ordinary resolutions include:

• 2025 Results & Dividend: Shareholders will vote on the FY-2025 Board work report, audited financial statements and a final cash dividend of RMB0.49 per share (tax inclusive). • Auditor Re-appointment: KPMG Huazhen LLP is nominated to audit FY-2026 financial statements and internal controls for a total fee of RMB3.46 million (RMB2.50 million for financials, RMB0.96 million for controls). • Debt Financing: The Board seeks registration and issuance approval for up to RMB4.00 billion in medium-term notes and up to RMB4.00 billion in ultra-short-term notes, both to be sold in one or multiple tranches within their respective registration periods. • Public Corporate Bonds: A separate resolution requests authority to issue corporate bonds of up to RMB8.00 billion, covering pricing, tenor, guarantees and other terms, with broad authorization for execution. • Unified Debt Financing Registration: Management also seeks mandate to register unspecified debt financing instruments (aggregate cap not stated) with the National Association of Financial Market Institutional Investors. • Governance & Insurance: Renewal of directors’ and senior management liability insurance (premium capped at RMB0.20 million), adoption of a new remuneration management policy and an adjustment to directors’ allowance standards. • Intra-group Lending: Approval for loans to four subsidiaries—Wufengshan Toll Bridge (up to RMB1.80 billion), Guangjing Xicheng (RMB1.50 billion), Yichang (RMB0.50 billion) and Changyi (RMB0.50 billion)—each for a three-year term. Controlling shareholders Jiangsu Communications Holding and China Merchants Expressway will abstain from voting on the relevant items.

Special resolution:

• Share Issuance Mandate: The Board may issue additional A and/or H shares—individually or via convertible securities, options or warrants—up to 20% of each share class in issue as of the AGM date. The mandate runs until the 2026 AGM or earlier revocation.

Cumulative poll:

• Board Changes: Shareholders will consider appointing Ms Zhou Lili and Mr Liu Gang as non-executive directors for the remainder of the 11th Board’s term, ending at the 2026 AGM.

Important deadlines: confirmation slips must be returned by 10 June 2026, and proxy forms lodged by 3:00 p.m. on 14 June 2026. All AGM resolutions will be decided by poll.
