LX Technology Group to Seek 10% Share Buyback and 20% Issuance Mandates at 5 June AGM

LX Technology Group has issued a circular convening its 2026 annual general meeting (AGM) for 5 June 2026 in Shenzhen. Key resolutions to be tabled include fresh mandates for share buybacks and new share issues, the re-election of three directors, and the re-appointment of the external auditor.

Share mandates • Share buyback: The Board is requesting authority to repurchase up to 35.32 million shares, representing 10% of the 353.18 million shares currently in issue (treasury shares excluded). • Share issue/resale: Directors are also seeking a mandate to issue, sell or transfer up to 70.64 million new or treasury shares, equivalent to 20% of the existing issued share capital. • Extension option: Subject to both mandates being approved, the issuance limit may be increased by the amount of any shares repurchased under the buyback authority.

Director re-elections • Founder, Chairman and CEO Hu Zuoxiong (executive director). • Human Resources Head Chen Shuang (executive director), appointed in December 2025. • Yao Zhengwang (independent non-executive director).

Auditor • ZHONGHUI ANDA CPA Limited is nominated for re-appointment. • The estimated audit fee for FY 2026 is set between RMB2.35 million and RMB2.70 million, subject to final scope and timetable.

Share capital snapshot • Total issued shares: 353.26 million • Treasury shares: 75,900 • Shares outstanding (ex-treasury): 353.18 million

Voting arrangements All resolutions will be decided by poll. The register of members closes from 2 June to 5 June 2026, inclusive. Shareholders must lodge transfer documents by 4:30 p.m. on 1 June 2026 to qualify for attendance and voting rights.
