ROISERV announces joint company secretary reshuffle: Liang Han steps in as Long Xiaokang steps down

Roiserv Lifestyle Services Co., Ltd. (ROISERV) reported a senior management change on 2 July 2026. Joint Company Secretary Long Xiaokang has resigned from his secretarial post but will remain an authorised representative of the Group. The Board extended its appreciation for his service during his tenure.

Subject to a waiver from The Stock Exchange of Hong Kong Limited, Liang Han, aged 40, will be appointed as the new Joint Company Secretary. Liang joined ROISERV in 2021 and has held roles including Senior Manager of Securities Affairs, Director of Securities Affairs and statutory Securities Affairs Representative. Her previous experience spans audit work at KPMG Huazhen LLP and securities affairs positions at Beijing Hejun Consulting, Beijing Bluepower Technology, and Thaihot Group (000732.SZ). She holds a master’s degree in management from the University of International Business and Economics, board secretary qualifications from both the Shenzhen and Shanghai stock exchanges, and a Legal Professional Qualification Certificate from China’s Ministry of Justice.

Liang will serve alongside existing Joint Company Secretary Diao Shaolong, who brings more than 14 years of experience in mergers & acquisitions, corporate governance and company secretarial matters. Diao is a member of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK) and meets the qualification requirements under Listing Rule 3.28.

Because Liang does not yet possess the specific company secretarial qualification stipulated by Hong Kong Listing Rule 3.28, ROISERV has applied for a three-year waiver. Conditions include (i) Liang being assisted by Diao during the waiver period and (ii) potential revocation if a material breach of the Listing Rules occurs. Prior to the waiver’s expiry, the Company must demonstrate to the Stock Exchange that Liang has gained sufficient relevant experience to discharge company secretary duties independently.

As of the announcement date, ROISERV’s Board comprises three executive directors (Wu Qiuyun, Liu Hongxia and Long Xiaokang), one non-executive director (Zhang Wenge) and three independent non-executive directors (Jin Wenhui, Xu Shaohong Alex and Tang Yishu).
