Lesi Group Limited (LESI GROUP) has signed a placing agreement with Uzen Securities Limited to issue up to 100 million new shares under its existing general mandate, according to an announcement released on 21 May 2026 after market close.
The new shares will be offered on a best-efforts basis to at least six independent investors at HK$0.70 per share, representing (1) a 14.63% discount to the 21 May closing price of HK$0.82 and (2) a 19.54% discount to the HK$0.87 average closing price over the preceding five trading days.
Gross proceeds are capped at HK$70.00 million, while net proceeds are estimated at HK$68.90 million after deducting fees and expenses, including a 1.5% placing commission payable to the agent. Lesi Group plans to allocate the funds as follows: • 35% (approximately HK$24.10 million) for AI short-video production and advertising technology R&D; • 55% (approximately HK$37.90 million) for expanding the customer base through optimisation of the media distribution network; • 10% (approximately HK$6.90 million) for general working capital.
The 100 million shares represent 20% of Lesi Group’s current issued share capital of 500 million shares and about 16.67% of the enlarged 600 million-share base, assuming full placement and no other changes. Post-transaction, the shareholding of Ka Lok Holdings Limited and its concert parties will dilute from 71.25% to roughly 59.38%, while the placees will collectively hold an estimated 16.67% of the enlarged capital.
Completion is conditional on, among other matters, Stock Exchange approval for listing the new shares and satisfaction of conditions no later than 11 June 2026 (Long Stop Date). Settlement is scheduled within ten business days after all conditions are met.
Lesi Group stated that the placement will enhance its capital base, strengthen liquidity and broaden its shareholder profile. The company has not undertaken any other equity fundraising in the past twelve months.
