Honghua Group Limited disclosed that Chairman and Executive Director Wang Xu resigned on 12 August 2026, citing changes in work arrangements. His departure simultaneously ends his roles as Chairman of both the Nomination Committee and the Strategic Investment Committee.
The resignation leaves three immediate gaps: Chairman of the Board, Chairman of the Strategic Investment Committee, and Chairman of the Nomination Committee. Mr. Zhu Hua—currently an Executive Director and the Company’s President—will support the Board in overseeing daily management until formal appointments are made.
Because the Nomination Committee is now without a chair, Honghua Group is temporarily out of compliance with Hong Kong Listing Rule 3.27A, which requires that the committee be led by either the board chairman or an independent non-executive director. In line with Rule 3.27C, the Board intends to name a qualified successor within three months of Mr. Wang’s resignation and will issue a further announcement once new appointments are confirmed.
As of the date of the announcement, the Board comprises Executive Directors Zhu Hua and Yang Qiang, Non-Executive Director Liu Hui, and Independent Non-Executive Directors Zhang Shiju, Li Yuedong, and Wang Junren.
