BaTeLab Sets 5 June 2026 AGM to Approve 2025 Results, Dividend Plan and Dual Share Mandates

BaTeLab Co., Ltd. (02149) has issued a proxy form outlining eight resolutions to be tabled at its 2025 Annual General Meeting (AGM), scheduled for 4:00 p.m. on 5 June 2026 at the Oriental Pearl Roadshow Hall, 2/F, Building 5, the Hub, No. 99 Shaohong Road, Minhang District, Shanghai.

The agenda comprises six ordinary resolutions: 1. Board of Directors’ 2025 work report. 2. 2025 annual report. 3. Audited financial statements for 2025. 4. Profit distribution plan for 2025. 5. Appointment of the external auditor for 2026. 6. Application for a 2026 bank credit line.

Two special resolutions will also be considered: 7. Granting the Board a general mandate to issue new shares. 8. Granting the Board a general mandate to repurchase H shares.

Approval thresholds are set at a simple majority of voting rights for ordinary resolutions and at least two-thirds for special resolutions.

Shareholders may appoint one or more proxies; completed proxy forms and supporting documents must reach Computershare Hong Kong Investor Services Limited (for H-shareholders) or the Company’s Suzhou headquarters (for unlisted domestic shareholders) no later than 4:00 p.m. on 4 June 2026.
