Geekplus Repurchases 30.94 Million Class B Shares in September; Outstanding Float Still Above 25%

Beijing Geekplus Technology Co., Ltd. (GEEKPLUS-W) filed its Monthly Return for Equity Issuer for the period ended 30 September 2026, detailing stable authorised capital and substantial share buybacks during the month.

Total authorised share capital remained unchanged at 1.34 billion weighted-voting-right (WVR) ordinary shares with a par value of RMB 1 each, comprising 218.56 million unlisted Class A shares and 1.12 billion Class B shares (of which 1.02 billion are listed in Hong Kong).

On the issued-share front, Class A shares were steady at 218.56 million. For listed Class B shares, the number in public hands fell by 30.94 million to 972.17 million after a series of repurchases, while treasury shares rose from 21.04 million to 51.98 million. Unlisted Class B shares were unchanged at 94.58 million.

Between 1 and 30 September 2026 the company executed 22 on-market repurchase transactions, authorised at the 26 May 2026 general meeting, acquiring 30.94 million Class B shares now held in treasury. No share cancellations have yet been recorded for these repurchased shares.

Despite the buybacks, Geekplus affirmed compliance with Hong Kong Listing Rule 13.32, confirming that its public float for the Class B shares remains above the prescribed 25 percent threshold based on publicly available data.

The filing also shows no movements in share options, warrants, convertibles, or other equity-linked instruments during the month. All activities cited were authorised by the board and carried out in accordance with relevant regulatory requirements.
