XIAO NOODLES completes further HKD 1.55 million share buy-back; cumulative repurchases reach 12.98 million shares under 2026 mandate

Guangzhou Xiao Noodles Catering Management Co., Ltd. (H-shares, “XIAO NOODLES”) disclosed a Next Day Disclosure Return detailing the latest progress of its 2026 on-market share repurchase programme.

Key points

• Latest transaction: On 9 June 2026 the company bought back 409,500 H-shares on the Stock Exchange of Hong Kong at prices between HKD 3.60 and HKD 3.96 per share, for a total consideration of HKD 1.55 million.

• Mandate utilisation: Since the current buy-back mandate was approved on 26 January 2026 (authorising up to 71.07 million shares), XIAO NOODLES has repurchased 12.98 million shares, equivalent to 1.83 % of the company’s issued share capital on the mandate date. The mandate remains 81.7 % unutilised.

• Shares pending cancellation: All 12.98 million repurchased shares—spanning 57 market transactions executed between 3 February and 9 June 2026—have yet to be cancelled. Once cancelled, the outstanding share count would fall from 710.69 million to approximately 697.71 million, reflecting a 1.83 % reduction.

• Capital structure: As at 9 June 2026, the issued share capital (excluding treasury shares) stood unchanged at 710.69 million H-shares. The company holds no treasury shares.

• Moratorium period: In line with Hong Kong Listing Rules, XIAO NOODLES is restricted from issuing new shares or selling treasury shares until 9 July 2026, 30 days after the most recent repurchase.

The board confirmed that all buy-backs were executed in compliance with applicable laws and listing regulations, and no material changes have occurred to the explanatory statement filed with the Exchange on 7 January 2026.
