Rex International completes share placement and warrant issue

Rex International Holding Limited announced the completion of its previously disclosed equity fundraising on Mar, 13 2026.

The transaction comprised the allotment and issuance of 40,082,930 new ordinary shares at 0.143 Singapore dollars per share and the placement of 13,187,000 treasury shares at the same price to two funds advised by Nursery Road Capital Management. In addition, the company issued 53,269,930 free detachable unlisted non-transferable warrants, each carrying the right to subscribe for one new share at 0.177 Singapore dollars.

After the issuance, Rex International’s total share count rose to 1,355,590,921 from 1,315,507,991, while issued and paid-up share capital increased by 5.732 million Singapore dollars to 113.762 million Singapore dollars. Gross proceeds from the new shares amounted to 7.618 million Singapore dollars; the 1.886 million Singapore dollars received from the sale of treasury shares did not affect issued capital.

The new shares are expected to begin trading on the SGX Mainboard at 9:00 a.m. on Mar, 17 2026. The company also outlined events that could trigger adjustments to the warrants’ exercise price, including bonus share issues, capital distributions, rights issues, discounted share placements and share consolidations or subdivisions.
