NC Healthcare Seeks Shareholder Approval for Third Amended Memorandum and Articles to Meet Updated HKEX Requirements

New Century Healthcare Holding Co. Limited (NC Healthcare) has announced plans to replace its second amended and restated memorandum and articles of association with a third amended version.

The proposed changes aim to: 1. Align the constitutional documents with recent updates to Hong Kong Listing Rules, specifically addressing hybrid meetings, electronic voting, treasury shares and the uncertificated securities market regime. 2. Incorporate related housekeeping revisions.

Implementation of the new memorandum and articles (the “New M&A”) requires a special-resolution vote at the company’s 2026 annual general meeting. A detailed circular and AGM notice will be distributed to shareholders in accordance with HKEX regulations.

The announcement was authorized by Chairman, Executive Director and Chief Executive Officer Mr. Jason Zhou on 27 March 2026 in Beijing. The board currently comprises three executive directors, four non-executive directors and four independent non-executive directors.
