Immunotech Biopharm Ltd (HK: 06978) released its Monthly Return for the period ended 31 July 2026, confirming that both authorised and issued share capital remained unchanged during the month.

Total share capital • Authorised share capital stood at 5.00 billion ordinary shares with a par value of USD 0.001 each, unchanged at USD 5.00 million. • Issued share capital was steady at 617.50 million shares, with no treasury shares held or cancelled.

Public float • The company affirmed compliance with the Hong Kong Stock Exchange’s minimum public-float requirement of 25% as at end-July 2026.

Equity incentive schemes • Pre-IPO Share Option Scheme: 9.87 million options remained outstanding; no options were exercised, cancelled or lapsed in July. • Post-IPO Share Option Scheme: no options granted or outstanding; the scheme still allows up to 9.87 million shares to be issued in future.

Convertible bonds • “New Convertible Bonds” with a principal of RMB 270.00 million (about HKD 2.92 conversion price) remained unchanged, carrying potential dilution of up to 102.88 million ordinary shares.

Other instruments and movements • No warrants, other share issuance agreements, share repurchases, redemptions, or treasury-share movements were reported for the month.

Governance confirmation • Director Tan Zheng certified that all share-related activities complied with Hong Kong listing rules and relevant regulations.
