TK Group (Holdings) Limited announced plans to replace its Second Amended and Restated Memorandum and Articles of Association with a Third Amended and Restated version, subject to shareholder approval by special resolution at the forthcoming annual general meeting (AGM).
Key proposed changes:
1. Electronic Governance • Shareholders would be able to vote via electronic means, aligning corporate procedures with recent Listing Rule amendments that expand paperless listing and electronic communication. • The company would be permitted to conduct electronic and hybrid general meetings under Cayman Islands law and Hong Kong Listing Rules.
2. Treasury Shares • The revised articles would expressly allow TK Group to hold repurchased, redeemed, or surrendered shares in treasury for future resale, reflecting Listing Rule changes effective 11 June 2024.
3. Housekeeping Updates • Additional consequential and clerical amendments aim to ensure full consistency with current Cayman Islands company law and the Hong Kong Listing Rules.
A circular detailing the amendments and the AGM notice will be dispatched to shareholders in due course. The new memorandum and articles will take effect immediately upon shareholder approval at the AGM.
