NEUTECH GROUP Enters into Variable Interest Entity Agreements for Smart Elderly Care Platform Operations

NEUTECH GROUP (ASX: 09616) has announced the execution of variable interest entity (VIE) agreements.

The agreements were signed on July 1, 2026, by Ruixin Health, Ruixin Cloud, and the registered shareholders.

The purpose of these VIE agreements is to enable the provision of operational internet information services to third-party suppliers and customers in China through a city-level smart elderly care platform.

These agreements grant the group several key rights and benefits. The group will be entitled to receive all economic benefits from Ruixin Cloud in consideration for services provided by Ruixin Health.

Furthermore, the group will exercise effective control over Ruixin Cloud and hold an exclusive call option to purchase all or part of the equity in Ruixin Cloud held by the registered shareholders.

Following the execution of the VIE agreements, the financial results of Ruixin Cloud will be consolidated into the group's comprehensive financial statements. Consequently, Ruixin Cloud will become a wholly-owned subsidiary of the company.
