Bairong Inc. Schedules 30 June 2026 AGM; Seeks Share Mandate Renewals and Re-brands to “Bairong AI Inc.”

Bairong Inc. (abbreviation: Bairong) has issued notice of its 2026 Annual General Meeting (AGM), to be convened on 30 June 2026 at 11:00 a.m. (Beijing time) at the company’s Beijing headquarters, 3/F, Tower A, No. 10 Furong Street, Chaoyang District.

Key resolutions to be tabled are as follows:

1. Financial Statements and Governance • Shareholders will vote to adopt the audited consolidated financial statements and the reports of the board and independent auditor for the year ended 31 December 2025. • Four directors—Ms. Wang Qing and Mr. Chan Chun Kit (executive), Professor Liao Jianwen (non-executive) and Dr. Li Yao (independent non-executive)—are standing for re-election, with board-determined remuneration subject to shareholder approval.

2. Auditor Appointment • Deloitte Touche Tohmatsu is nominated as the external auditor for the financial year ending 31 December 2026, with the board authorised to fix remuneration.

3. Capital Management Mandates • Share Buy-back: The board seeks authority to repurchase up to 10% of the issued Class B share capital (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised exchanges during the mandate period. • Share Issuance: A separate mandate would empower directors to allot or issue new Class B shares—plus any treasury share disposals—up to 20% of issued share capital, excluding employee share option exercises and rights issues. • Mandate Extension: Conditional on the above approvals, the issuance limit may be extended by the amount of shares repurchased, effectively permitting additional issuance of up to 10% of shares in circulation.

4. Corporate Rebranding • A special resolution proposes changing the company’s name from “Bairong Inc.” to “Bairong AI Inc.”, effective upon approval by the Cayman Islands Registrar of Companies. Passage requires at least a 75% majority of votes cast across Class A and Class B shareholders.

5. Administrative Details • The register of members will close from 25 June 2026 to 30 June 2026 (both days inclusive). Share transfers must be lodged with Computershare Hong Kong Investor Services by 4:30 p.m. on 24 June 2026 to qualify for AGM attendance and voting on the 30 June record date.
