Aoxin Q & M Dental Group signs MOU to acquire second China dental chain for about 71 million Singapore dollars

Aoxin Q & M Dental Group Limited said on Apr, 20 2026 that it has entered into a non-binding memorandum of understanding to buy 100% of a dental and medical services group operating nearly 15 clinics in southern China.

The indicative purchase price is approximately 71.4 million Singapore dollars, to be settled 50% in cash and 50% through new shares. About 22.8 million Singapore dollars will be paid at completion, 9.1 million will be disbursed in three instalments over roughly three years if profit targets are met, and 3.8 million will be placed in escrow for ten years.

The non-cash component of 35.7 million Singapore dollars will be satisfied by issuing new shares: 25.0 million Singapore dollars worth at S$0.35 per share and 10.7 million Singapore dollars worth at a price based on the seven-day volume-weighted average prior to completion. All shares issued to the seller will be locked up for 15 years and pledged to secure performance undertakings.

The seller has provided a ten-year profit guarantee totalling about 68.1 million Singapore dollars, with annual net profit after tax targets ranging from 3.8 million to 8.4 million Singapore dollars. Any shortfall can be met from the 3.8 million Singapore dollars held in escrow.

Aoxin Q & M said the deal, alongside a separate transaction announced on Mar, 27 2026, supports its strategy to expand its presence in China. Completion of the acquisition is subject to definitive agreements and satisfactory due diligence. The company is also negotiating with its parent, Q & M Dental Group (Singapore) Limited, to lift an existing non-compete undertaking that limits operations outside northern China.

The company will update shareholders on further developments and cautioned that there is no certainty the transaction will proceed.
