MEGAIN Holding (Cayman) Co., Ltd. has released its 2026 AGM circular detailing four key proposals to be voted via eVoting Portal at 10:30 a.m. on 29 June 2026.
1. Board Composition • Re-election of three retiring directors: – Non-executive: Ms. Yu Erhao – Independent non-executives: Mr. Li Huaxiong and Mr. Kao Yi-Ping • Nomination Committee confirms all independent directors continue to meet Rule 3.13 independence criteria; no independent director has served more than nine years.
2. Auditor Re-appointment • BDO Limited seeks re-appointment; estimated audit fee for FY 2026 is HK$0.90 million.
3. General Mandates • Issue Mandate: Authorises the Board to allot, issue or deal with shares— including any sale/transfer of treasury shares—up to 20 % of issued share capital, equating to 103.75 million new shares based on the 518.75 million shares outstanding as of the latest practicable date. • Repurchase Mandate: Permits on-market buybacks of up to 10 % of issued shares, equivalent to 51.88 million shares. Shares repurchased will be cancelled. • Extension Mandate: Number of repurchased shares can be added to the Issue Mandate limit.
4. Meeting Logistics • Register of members closes 24–29 June 2026; shareholders must lodge transfers by 4:30 p.m. on 23 June to qualify for voting. • Proxy forms must reach Tricor Investor Services by 10:30 a.m. on 27 June 2026. • All resolutions will be decided by poll.
The Board recommends shareholders vote in favour of all resolutions.
