Lai Fung Holdings Limited reported that its current public float stands at 14.76%, below the 25% minimum required by Hong Kong Stock Exchange Listing Rule 13.32B.
Management confirmed that normal business operations have continued since trading in the company’s shares resumed on 11 November 2022. To address the public-float shortfall, the board is in active discussions with controlling shareholders, core connected persons, and financial advisers to identify feasible measures for restoring compliance “as soon as reasonably practicable.”
Until the float is brought back to at least 25%, the company will: 1. Issue monthly updates on progress, maintaining transparency for shareholders and the market. 2. Observe all other requirements stipulated under Listing Rule 13.32E.
Lai Fung reiterated its advisory for shareholders and potential investors to exercise caution when dealing in the company’s shares.
