TONGCHENGTRAVEL Sets 16 Jun 2026 AGM; HKD0.25 Final Dividend and New Share Issue/Buyback Mandates Proposed

Tongcheng Travel Holdings Limited will convene its 2026 annual general meeting on 16 June 2026 in Suzhou. Key resolutions include fresh authorisations for share issuance and repurchase, director re-elections, auditor re-appointment and a final dividend.

Dividend • A final dividend of HKD0.25 per share for FY-2025 is recommended. • Payment date: on or about 15 July 2026. • Record date: 7 July 2026; register closed 3–7 July 2026.

Share Capital & Mandates • Issued shares outstanding: 2.35 billion. • Proposed Issue Mandate: up to 15% of issued shares, equivalent to 353.15 million new or treasury shares. • Proposed Repurchase Mandate: up to 10% of issued shares, or 235.43 million shares. • The board states it has no current plans to utilise either mandate.

Board & Auditor • Directors up for re-election: Executive Director Wu Zhixiang, Non-executive Director Jiang Hao and Independent Non-executive Director Han Yuling. • PricewaterhouseCoopers is nominated for re-appointment as auditor; estimated FY-2026 audit fee ranges between RMB7.80 million and RMB8.50 million.

Meeting Logistics • Shareholder voting will be conducted by poll. • Proxy forms must be lodged at Computershare Hong Kong Investor Services at least 48 hours before the meeting.

The board believes the proposed resolutions are in the best interests of both the company and its shareholders.
