Xinyi Glass Schedules 29 May 2026 AGM; Board Proposes HK$0.215 Final Dividend and Seeks Share Mandates

Xinyi Glass Holdings Limited will convene its 2026 Annual General Meeting on 29 May 2026 at 11:00 a.m. in Kwun Tong, Hong Kong. Shareholders will vote on seven ordinary resolutions:

1. 2025 Results Adoption • Consideration of the audited financial statements and the reports of the directors and auditor for the year ended 31 December 2025.

2. Cash Distribution • Declaration of a final dividend of 21.5 HK cents per share for FY 2025.

3. Board Composition and Remuneration • Re-election of four directors: – Dr. Lee Yin Yee, S.B.S. (Executive Director) – Mr. Lee Shing Kan, M.H. (Executive Director) – Mr. Ng Ngan Ho (Non-executive Director) – Mr. Wong Chat Chor Samuel (Independent Non-executive Director) • Authorisation for the Board to determine directors’ remuneration.

4. Auditor Re-appointment • Re-appointment of Ernst & Young as external auditor until the next AGM, with the Board authorised to fix its remuneration.

5–7. Share Issuance and Repurchase Authorities • Grant of a general mandate allowing the Board to repurchase shares. • Grant of a general mandate authorising the Board to allot and issue new shares. • Extension of the share-issuance mandate by adding the number of shares repurchased under the buy-back mandate.

Shareholders must submit proxy forms to the Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, no later than 11:00 a.m. on 27 May 2026 (Hong Kong time) if they cannot attend the AGM in person.
