CBK HOLDINGS Clarifies: "Hannuo Group" Is Not a Company Affiliate and "Hannuo Sichuan" Is Only a Business Partner

CBK HOLDINGS (08428) has issued a clarification regarding recent media reports and announcements. The company's board noted a media report mentioning an entity called "Hannuo Group," which claimed to be listed on the main board of the Stock Exchange with the same stock code as the company. Another document referenced the company's Chinese name, suggesting an imminent resumption of share trading and a planned share issuance.

The company's wholly-owned subsidiary, Hannuo Shuzhi (Shenzhen) Technology Co., Ltd. (Hannuo Shenzhen), and Hannuo Shuzhi (Sichuan) Technology Group Co., Ltd. (Hannuo Sichuan) have established CBK HOLDINGS (Chengdu) Technology Co., Ltd. (CBK HOLDINGS Chengdu) under Chinese law. Hannuo Shenzhen holds 51% and Hannuo Sichuan holds 49% of the equity. As of the announcement date, these two entities are cooperating to operate a restaurant named "Hannuo Club" in Chengdu, which is a wholly-owned subsidiary of CBK HOLDINGS Chengdu.

The key clarification: The entity "Hannuo Group" mentioned in the media report and the alleged announcement is not a member of the company or its group. The board is concerned that the public might mistakenly associate "Hannuo Group" with "Hannuo Sichuan" or confuse it with the company's Chinese name. Any activities conducted by or in the name of "Hannuo Group" are not the business or activities of the company, and the company is not responsible for nor has it participated in them.

Regarding "Hannuo Sichuan": The board further clarifies that Hannuo Sichuan is only a business partner of the group. As of the announcement date, the only existing business cooperation between the group and Hannuo Sichuan is operating the "Hannuo Club" restaurant in Chengdu. The group has no subsidiary operating under the name "Hannuo Group."

Regarding the media report: The company states that its shares have been listed on the GEM (Growth Enterprise Market) under stock code 8428 since February 15, 2017. The media report's claim that "Hannuo Group" was listed on the main board of the Stock Exchange in August 2025 with code 8428 is clearly incorrect.

Regarding the alleged announcement: The board clarifies that the company has not had any discussions with any licensed corporation regarding any equity issuance or similar arrangements of the nature described in the alleged announcement. There are no specific plans for such actions.

The company is making every effort to address and resolve matters outlined in the resumption guidance to meet the conditions for resuming share trading. Shareholders and potential investors are advised not to rely on market rumors regarding the group. Any information about the progress of resumption should be based solely on the company's official announcements.

The board is closely monitoring developments and has engaged its Chinese legal counsel to investigate the media report and the alleged announcement, including the unauthorized use of the company's Chinese name. The company will take all appropriate actions to protect its own interests and those of its shareholders, reserving all rights in this regard.

The company's shares have been suspended from trading on the Stock Exchange since 9:00 a.m. on July 2, 2025, and will remain suspended until all conditions set out in the resumption guidance are fulfilled.
