Upon completion of the transaction, Vodafone Group PLC will become the sole owner of Vodafone Three. Vodafone Group PLC (VOD, down 0.42%) will acquire full ownership of its joint venture with CKH HOLDINGS. The Hong Kong-based conglomerate has agreed to sell its stake in one of the UK's major mobile operators for over $5 billion. The two companies announced on Tuesday that CKH HOLDINGS will sell its 49% stake in Vodafone Three for £4.3 billion (equivalent to $5.82 billion) through a share cancellation mechanism. The transaction values Vodafone Three at an enterprise valuation of £13.85 billion. The company was formed by the merger of Vodafone's UK operations and the UK 3G operator Three UK. CKH HOLDINGS, whose businesses span retail, shipping, and other sectors, is divesting certain assets to strengthen its financial position. In February of this year, a subsidiary of the group announced plans to sell UK Power Networks, a British electricity network operator, to French energy giant ENGIE (ENGI, up 0.22%) for over $14 billion. The conglomerate stated that the exit from Vodafone Three is expected to generate a disposal gain of approximately HK$4.7 billion (equivalent to $600 million); the proceeds will be used for debt repayment and balance sheet optimization. A portion of the funds will also be allocated for business expansion, potential mergers and acquisitions, and infrastructure upgrades. Following the announcement, shares of CKH HOLDINGS in Hong Kong surged over 4% in the afternoon session, with gains later moderating to 2.7%. Vodafone indicated it will utilize existing cash reserves to pay the transaction consideration. The deal is expected to be finalized in the second half of 2026, and the current management team of Vodafone Three will remain unchanged. Vodafone stated in a release: "We believe now is the appropriate time to take full ownership of Vodafone Three. This move will help us accelerate the transformation of the UK's digital infrastructure and create value for shareholders."
