Completion of settlement for Akanoshou business disposal • The company’s indirect subsidiary (Vendor) and the purchaser signed a confirmation letter completing the settlement agreement tied to the July 2025 disposal of the Akanoshou restaurant in Causeway Bay. • Key terms: – Settlement Sum of HK$0.35 million was paid in full; the amount had already been withheld from the remaining HK$2.65 million balance under the original business transfer agreement, which now becomes the Vendor’s absolute property. – Both parties mutually discharge all remaining obligations and waive the need for formal government approval of licence renewals for completion. • Management states the closure eliminates further administrative uncertainty and legal costs, enabling resources to be redirected to core operations.
Early termination of Causeway Bay tenancy • An indirectly wholly-owned subsidiary (Tenant) and the landlord executed a deed of surrender, terminating the four-year lease of the HDH Centre premises with effect from 30 June 2026. • Financial implications: – Tenant will pay liquidated damages of HK$0.64 million via set-off against the rental deposit. – Subject to successful transfer of restaurant and liquor licences to a new operator, the landlord will refund the remaining HK$0.48 million deposit within one month of confirmation. • Rationale: the Akanoshou outlet at the premises had been loss-making; surrendering the lease is expected to cut operating expenses and stem further losses. • Under HKFRS 16, the right-of-use asset linked to the lease had been fully impaired in earlier periods, so derecognition will not generate additional impairment. All applicable GEM Listing Rule percentage ratios are below 5%, meaning no further notification is required.
