MONTAGE TECH Proposes 2026 H Share Incentive Scheme Covering Up to 5.00% of Share Capital

Montage Technology Co., Ltd. (MONTAGE TECH) announced that its Board resolved on 1 June 2026 to seek shareholder approval for the adoption of the 2026 H Share Incentive Scheme at the 2025 annual general meeting scheduled for 24 June 2026.

The proposed scheme is designed to reinforce long-term incentives, attract and retain key talent, and align the interests of employees, service providers, the Company and shareholders.

Key parameters • Scheme Mandate Limit: Up to 60.48 million H Shares, representing approximately 5.00% of the Company’s total issued share capital (excluding treasury shares) on the adoption date. • Service Provider Sublimit: Within the above limit, a maximum of 12.10 million H Shares (around 1.00% of share capital) may be issued to service provider participants. • Share source: Awards may be settled through treasury shares, newly issued H Shares, on-market or off-market share purchases, or transfers from existing shareholders.

Implementation and approvals • The Board seeks a mandate from shareholders to authorise the Board and/or the scheme administrator to handle all matters related to the incentive scheme. • Adoption is conditional on: 1) Special resolutions passed at the upcoming AGM; and 2) Approval from the Hong Kong Stock Exchange’s Listing Committee for listing and dealing in the new H Shares to be issued under the scheme.

Regulatory compliance The 2026 H Share Incentive Scheme complies with Chapter 17 of the HKEX Listing Rules. A circular detailing the scheme and related authorisations, along with the AGM notice and proxy form, will be dispatched to shareholders and posted on HKEX’s and the Company’s websites in due course.
