China Re sets 26 June 2026 for 2025 AGM; to vote on director election, 2025 results, dividend plan and three-year capital programme

China Reinsurance (Group) Corporation has released the proxy form and agenda for its 2025 annual shareholders’ meeting, scheduled for 26 June 2026 at 09:30 a.m. in Beijing. The session will be held onsite at meeting rooms on the 6th and 24th floors of China Re Building, No. 11 Jinrong Avenue, Xicheng District.

Key ordinary resolutions to be put to vote:

1. Election of Mr Zhang Xueyong as an independent non-executive director for the fifth board session. 2. Approval of the board of directors’ report for FY 2025. 3. Approval of the final financial accounts report for FY 2025. 4. Approval of the FY 2025 profit distribution plan. 5. Approval of the 2026 fixed-asset investment budget. 6. Approval of the 2026-2028 three-year rolling capital plan. 7. Appointment of statutory financial reporting auditors and related fees for FY 2026.

A special resolution will seek shareholder consent for the Company’s external donation plan for 2026.

H-shareholders recorded in the Company’s register may appoint one or more proxies to attend and vote. Proxy forms and any notarised authorisations must reach Computershare Hong Kong Investor Services Limited by 9:30 a.m. on 25 June 2026, 24 hours prior to the meeting. Shareholders or their proxies will need to present valid identification at the venue to exercise voting rights.
