United Overseas Australia and UOA Development report shareholder approval of all AGM resolutions

United Overseas Australia Ltd (UOS) said that every resolution tabled at its 2025 Annual General Meeting, held online on May, 26 2026 at 10:00 a.m. WST, received shareholder approval. The meeting was conducted in line with ASX Listing Rule 3.13.2 and section 251AA of the Corporations Act 2001.

Separately, UOA Development Bhd confirmed that all ten motions at its 22nd Annual General Meeting, also held on May, 26 2026, were passed by poll at the Connexion Conference & Event Centre in Kuala Lumpur. Key items endorsed included:

• A final single-tier dividend of 10 sen per share for FY 2025 (100 % votes in favour). • Directors’ fees and meeting allowances of up to RM277,000 for FY 2026 (99.9996 % in favour). • Re-election of directors Mr Kong Pak Lim and Tuan Haji Ramley bin Alan. • Re-appointment of Grant Thornton Malaysia PLT as external auditor (99.9999 % in favour). • Authority to issue shares under Sections 75 and 76 of the Companies Act 2016 (77.59 % in favour). • Renewals of mandates for the dividend reinvestment scheme, recurrent related-party transactions and the share-buy-back programme.
