LifeTech Scientific Corporation announced that Jiang Feng, a non-executive director since 1 April 2014, has been re-designated as an independent non-executive director (INED) effective 18 June 2026. Concurrently, Jiang joins both the Audit Committee and the Remuneration Committee.
Jiang’s re-designation follows the 26 January 2026 resignation of former INED Wang Wansong, which left the Board with only two INEDs and triggered non-compliance with multiple Hong Kong Listing Rules (3.10(1), 3.11, 3.21, 3.23, 3.25, 3.27, 3.27A and 3.27C). The Hong Kong Stock Exchange granted a waiver extending the three-month grace period to 19 June 2026. With Jiang’s appointment, LifeTech now has three INEDs—exceeding the one-third Board requirement—and each of the Audit, Remuneration and Nomination Committees is back to full, rule-compliant strength.
Jiang, aged 63, is vice president of the China Association for Medical Devices Industry and holds senior roles in multiple sector bodies. His prior career spans clinical practice, senior management at China National Pharmaceutical Group subsidiaries, and independent directorships at several mainland medical-device companies. He meets all independence criteria under Rule 3.13 of the Listing Rules.
Under a three-year appointment letter commencing 18 June 2026, Jiang will receive a director’s fee of RMB0.18 million per year, subject to annual review.
Following these changes, the Board of LifeTech Scientific comprises three executive directors—Xie Yuehui (chairman & CEO), Wu Liping and Fang Yu—and three independent non-executive directors—Zhou Luming, Chen Dongxia and Jiang Feng.
