Samsonite Announces Up to US$50.00 Million Share Buyback, Targeting 2.01% of Outstanding Shares

Samsonite Group S.A. disclosed a voluntary Share Buyback Program that will start on 14 May 2026 under the general mandate granted at its 2025 AGM.

The program authorises on-market repurchases of up to US$50.00 million (approximately HK$391.60 million). Using the 12 May 2026 closing price of HK$14.04, the authorised amount equates to about 2.01% of Samsonite’s issued share capital, excluding treasury shares.

Repurchased shares will be held in treasury. The Board aims to capture what it views as a share price below intrinsic value, demonstrate confidence in long-term growth prospects and offset dilution from options and restricted share units granted under the 2012 and 2022 Share Award Schemes.

The initial authority runs from 14 May 2026 to the 2026 AGM on 4 June 2026. If shareholders approve the Proposed 2026 Share Buyback Mandate at that meeting, the program will extend to the 2027 AGM, subject to any shareholder variation or revocation.

Purchase prices must fall between HK$5.00 and HK$40.00 per share and cannot exceed the average closing price for the five trading days prior to each repurchase by 5% or more, satisfying Luxembourg law and Hong Kong Listing Rules.

Funding will come from Samsonite’s internal resources while maintaining capital for ongoing operations. All transactions will comply with the company’s Articles of Association, the Hong Kong Listing Rules, the Hong Kong Code on Takeovers and Mergers and Share Buybacks, and Luxembourg Companies Law.

Management cautions that actual buybacks will depend on market conditions and Board discretion; there is no assurance on timing, volume or completion of the full amount.
