CHINA HK POWER receives 100% shareholder support for all motions at 2026 AGM

China HK Power Smart Energy Group Limited (CHINA HK POWER) announced that every item on the agenda of its Annual General Meeting (AGM) held on 21 August 2026 at St. John’s Building, Central, Hong Kong, was approved by shareholders with full backing.

Key resolutions and voting outcome • Adoption of FY 2026 audited financial statements and reports: 4.07 billion votes in favour, 0 against (100% approval). • Re-election of directors: Mr. Deng Yaobo (executive), Mr. Simon Murray (non-executive) and Mr. Chow Ching Ning (independent) each secured 100% support, with 4.07 billion votes cast for their return. • Authorisation for the Board to determine directors’ remuneration passed unanimously. • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as independent auditor gained full shareholder endorsement, with authority granted to the Board to fix its fees. • General mandates: Shareholders approved (1) issuance of new shares up to 20% of issued share capital, (2) repurchase of shares up to 10%, and (3) extension of the issue mandate by the amount of repurchased shares—all with 100% affirmative votes.

Participation snapshot • Total shares in issue: 8.16 billion. • Votes cast: 4.07 billion, representing approximately 49.86% of issued shares. • No shares carried restrictions or required abstention; no votes were cast against or abstained on any resolution.

Governance and oversight All directors attended the meeting in person or electronically. Jon Gepsom CPA Limited acted as scrutineer for the poll. With the passing of the resolutions, the existing Board—led by Chairman Dr. Kan Che Kin, Billy Albert—remains unchanged and retains renewed mandates to manage capital actions until the next AGM.
