JEP Holdings shareholders approve all AGM resolutions

JEP Holdings (1J4) said that its shareholders approved every item on the agenda at the company’s annual general meeting held on Apr, 29 2026 in Singapore.

All five ordinary resolutions and three special resolutions were carried by poll. The adoption of the FY 2025 financial statements received 346.16 million votes in favour, representing 100 per cent of valid votes cast.

Executive chairman and chief executive officer Andy Luong and lead independent director Kong Chee Keong were both re-elected to the board with 100 per cent support. Shareholders also endorsed directors’ fees of up to 0.20 million Singapore dollars for FY 2026.

Audit firm Moore Stephens LLP was re-appointed, and directors were authorised to fix its remuneration.

Under special business, shareholders granted the board authority to issue new shares, approved the renewal of the share buy-back mandate—supported by 83.4 per cent of votes cast—and renewed the general mandate for interested-person transactions.

The meeting, chaired by independent director Tan Wei Shyan, closed at 11:17 a.m. Singapore time.
