UMS Integration Limited announced on Jun, 5 2026 that it entered into a non-binding memorandum of understanding on Jun, 4 2026 with the two founding shareholders of Viet Nguyen Mechanical Precision Company Limited, Central Metal Mechanical Company Limited and Global Metal Plating Company Limited.
Under the preliminary terms, the three Vietnamese businesses will be restructured into a new entity, and UMS Integration plans to invest about 3.602 million Singapore dollars for roughly 51.6% of the enlarged share capital, positioning the new company as its subsidiary.
The agreement aims to broaden UMS Integration’s manufacturing footprint in Vietnam and enhance its precision engineering capabilities for the semiconductor and related industries.
Completion is subject to due diligence and the signing of definitive agreements; the deal is classified as a non-discloseable transaction under Singapore Exchange rules. UMS Integration said the investment will be funded from internal resources and is not expected to have a material effect on its net tangible assets or earnings per share for the current financial year.
The company cautioned that there is no certainty the proposed transaction will proceed and will update shareholders when definitive agreements are reached.
